These Terms and Conditions ("Terms") constitute a legally binding agreement between you and MTech & IT, a sole proprietor doing business as 360HealthWise ("we," "us," or "our"), regarding your use of the 360HealthWise mobile applications, web application at app.360healthwise.com, and related services (collectively, the "Service").

By downloading, installing, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

We may modify these Terms at any time. Material changes will be communicated through the Service or by email where appropriate. Continued use after changes constitutes acceptance of the modified Terms.

Eligibility

ACCOUNT REQUIREMENTS

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Do not share your account with others
• One account per individual unless we authorize otherwise

Geographic Restrictions

• The Service is available worldwide subject to applicable laws
• Export control and sanctions laws may restrict access in certain regions

Account Conditions

• You must have the legal capacity to enter binding contracts
• Corporate or organizational accounts must be authorized by a representative with authority
• You may not use the Service if prohibited by applicable law

Account Registration

ACCOUNT TERMINATION

• You may delete your account in app settings or by contacting support
• We may suspend or terminate accounts that violate these Terms
• Upon termination, your right to use the Service ends immediately, subject

Account Security

• Use a strong, unique password and keep it confidential
• Enable two-factor authentication when available

Account Responsibilities

• You are responsible for all activity that occurs under your account
• Keep your profile information accurate and current
• Do not share your account credentials with others

Use of Service

PERMITTED USE

• Personal, non-commercial use unless we authorize otherwise
• Use in compliance with applicable laws and these Terms
• Respect other users' rights and privacy

Prohibited Activities

• Do not misuse, reverse-engineer, or attempt to exploit vulnerabilities in the Service
• Do not create fake accounts, impersonate others, or provide false information
• Do not use automated bots, scrapers, or other unauthorized automated means to access the Service
• Do not use the Service to harass, harm, or violate the rights of others

USER CONTENT

• You retain ownership of content you create
• You grant us a worldwide, non-exclusive, royalty-free license to host,
• You represent that you have rights to content you submit
• We may remove content that violates these Terms or applicable law
• We are not responsible for user-generated content

Health and Safety Disclaimers

NOT MEDICAL ADVICE

• 360HealthWise is a health and wellness tracking tool, not a medical device
• The Service does not provide medical, mental health, or clinical advice
• Information is for general informational and educational purposes
• Always consult qualified healthcare professionals for medical decisions

Not a Medical Device

• The app is not a medical device, diagnostic tool, or clinical instrument
• We are not a HIPAA-covered entity and do not provide medical services
• Do not rely on the app in medical emergencies — always call emergency services

Individual Results Vary

• Health and fitness results depend on individual factors and circumstances
• We make no guarantees of specific outcomes from using the Service
• Consult professionals before starting any new exercise, diet, or wellness program

AI Health Features

• AI-generated content is for informational and educational purposes only
• AI outputs are not medical advice and have not been reviewed by healthcare professionals
• Always verify AI-generated health or nutrition information with a qualified professional

AI-Generated Content

Third-Party AI Providers

• AI features use third-party providers including OpenAI, Anthropic, Google AI, and others
• Data sent to AI providers is subject to their terms and privacy policies
• When using BYOK (bring your own key), you are responsible for that provider's terms

Accuracy and Limitations

• AI outputs may be incomplete, inaccurate, or outdated
• We do not guarantee the accuracy or reliability of AI-generated content
• Do not rely on AI outputs for medical, legal, financial, or safety decisions

CONSENT

• Some AI features require separate in-app consent
• You may disable optional AI features in settings where available

Research, Publications & External Content

KNOWLEDGE BASE UPLOADS

• You are responsible for documents and notes you upload
• Do not upload content you lack rights to share or that violates law
• Do not upload others' confidential or protected health information without

THIRD-PARTY CONTENT

• Bibliographic metadata may come from Crossref, PubMed, Semantic Scholar
• RSS articles are republished metadata and links from third-party publishers
• We do not endorse third-party claims or guarantee accuracy

Personal Trainer Feature

NO PROFESSIONAL RELATIONSHIP WITH US

• Using trainer features does not create a medical or professional

DATA SHARING

• Clients control what data is shared via in-app consent settings
• Trainers must comply with applicable professional and privacy laws
• We provide tools but do not supervise training services

Trainer Liability

• We are not liable for advice, programs, or content provided by trainers
• Use trainer-provided information at your own risk
• Report misconduct to support@healthwise360.com

Community & Social Features

COMMUNITY CONDUCT

• Be respectful; no harassment, bullying, or discrimination
• No medical misinformation presented as professional advice
• No spam, scams, or unauthorized advertising
• No sharing of others' private information without consent

Your Community Content

• You retain ownership of content you post, but grant us a license to display and distribute it within the Service
• Public content (posts, shared workouts) may be visible to other users
• You can delete your public content at any time

MODERATION

• We may remove content or suspend accounts that violate these Terms
• We are not obligated to monitor all user content

Location, Sensors & Calendar

LOCATION AND GPS

• Cardio routes, maps, and location reminders require location permissions
• Outdoor and GPS-based activities carry inherent risks
• You are responsible for safety while exercising and navigating

CAMERA, MICROPHONE, AND SENSORS

• Features such as food logging, barcodes, voice input, and pose detection
• Denying permissions may limit related features

Calendar Export

• If you use webcal or iCal export, your calendar or tasks may be accessible via a private URL containing an unguessable export token (for example /api/calendar/export/{token}.ics). Anyone with that URL may view exported events. Treat export URLs like passwords. You can obtain a new URL in the app if a link is exposed. Legacy URLs that contained your account ID no longer work.

Intellectual Property

OUR PROPERTY

• The Service, branding, software, and original content are owned by us or
• Protected by copyright, trademark, and other intellectual property laws
• You may not copy, modify, distribute, or create derivative works without

THIRD-PARTY CONTENT

• Exercise data may include content from ExerciseDB and similar sources
• Nutrition data may come from third-party food databases
• RSS, publication, and YouTube embed content belongs to third parties
• AI-generated catalog media may be subject to provider terms

Third-Party IP

• Exercise databases, nutrition data, and external content may have their own IP protections
• We respect third-party intellectual property rights
• Report infringement concerns to legal@healthwise360.com

Subscriptions & Payments

WEB / STRIPE SUBSCRIPTIONS

• Web or desktop subscriptions may be billed through Stripe
• Stripe terms and privacy policy apply to payment processing
• Refunds for Stripe purchases are handled according to our stated refund
• Manage or cancel Stripe subscriptions through account settings or support

Billing & Renewal

• Subscriptions auto-renew unless cancelled before the renewal date
• Billing is handled by Apple App Store, Google Play Store, or Stripe depending on platform
• You are responsible for ensuring your payment information is current

Refunds

• Refunds are subject to the refund policies of the platform through which you purchased
• Apple, Google, and Stripe have their own refund processes and timelines

PRICE CHANGES

• We may change prices with notice as required by applicable law and

Third-Party Services

Integrations

• The Service integrates with third-party apps and services (Strava, Apple Health, Google Health, Fitbit, and others)
• Third-party integrations are governed by their own terms and privacy policies
• We are not responsible for the availability or conduct of third-party services

AI Providers

• AI features use services from OpenAI, Anthropic, Google AI, and other providers
• Data sent to AI providers is subject to those providers' terms and policies
• AI providers may change their services, terms, or availability at any time

External Links

• The Service may contain links to external websites or resources
• We do not endorse or control external websites
• Visit external links at your own risk

Disclaimers & Limitations

SERVICE AVAILABILITY

• The Service is provided "as is" and "as available"
• We do not guarantee uninterrupted, secure, or error-free operation
• We may modify, suspend, or discontinue features at any time

NO WARRANTIES

• We disclaim all warranties, express or implied, including merchantability,

Indemnification

You agree to indemnify, defend, and hold harmless MTech & IT (dba 360HealthWise) and its operators from claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: - Your use of the Service - Your user content or conduct - Your violation of these Terms or third-party rights - Your use of BYOK or third-party integrations - Trainer–client interactions where you are a participant

You agree to indemnify, defend, and hold harmless MTech & IT / 360HealthWise and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your user content or conduct
• Your violation of these Terms or third-party rights
• Your use of BYOK or third-party integrations
• Trainer–client interactions where you are a participant

Dispute Resolution

GOVERNING LAW

• These Terms are governed by the laws of the Netherlands, without regard

INFORMAL RESOLUTION

COURTS

• Except where prohibited by mandatory law (including EU consumer rules),

CLASS ACTION WAIVER

• To the extent permitted by law, disputes must be brought individually

ASSIGNMENT — You may not assign these Terms; we may assign them in
